Position Overview
Provide legal support related to securities, corporate, investment management and other financial services matters.

Essential Duties and Responsibilities
All areas of responsibility listed below are essential to the satisfactory performance of this position by any/all incumbents, with reasonable accommodation, if necessary. Any non-essential functions are assumed to be other related duties.

  • Provide assistance in connection with securities filings, disclosures, and compliance
  • Provide assistance with corporate governing documents, state corporate filings, minutes, resolutions, and corporate entity formation.
  • Draft and review various filings under the Securities Act of 1933 and the Securities Exchange Act of 1934, including Form 8-Ks, Prospectuses and Supplements, Form 10-Qs, Form 10-Ks, and applicable Registration Statements.
  • Participate in preparation of responses relating to legal and regulatory examinations and complaints
  • Conduct legal research and assist with additional legal matters and special projects as needed.
  • Assist the Senior Associate General Counsel, Chief Legal Officer and other Executive officers and Senior Managers as applicable.

Qualifications and Experience
The ideal candidate will have the following qualifications and experience:

  • Up to three years’ experience in securities law and corporate law. Will consider no experience for certain exceptional candidates.
  • J.D. degree from an American Bar Association accredited law school. Bar admitted in a state within the U.S.
  • Specific expertise in federal and state securities laws, including the Securities Act of 1933 and the Securities Exchange Act of 1934 is preferred. The ability to think proactively and coordinate securities filings with various internal departments is crucial. Broker-dealer experience is also a plus.
  • Proficiency with Microsoft Office; strong Microsoft Word skills.
