Investment Overview

Phillips Edison Grocery Center REIT III, Inc. is a real estate investment trust that seeks to invest primarily in well-occupied grocery-anchored neighborhood and community shopping centers primarily leased to a mix of national and regional creditworthy tenants selling necessity-based goods and services in strong demographic markets throughout the United States.

INVESTMENT OBJECTIVES

  • Preserve and protect our stockholders' invested capital
  • Provide regular cash distributions to our stockholders
  • Realize growth in the value of our assets upon the sale of such assets
  • Provide stockholders with the potential for future liquidity through certain exit strategies (see below)

SHARE REDEMPTION PROGRAM*

  • For at least one year from the date of purchase, the lesser of: (i) 90% of the price paid to acquire the shares or (ii) 90% of the applicable NAV per share.
  • For at least two years from the date of purchase, the lesser of: (i) 95% of the price paid to acquire the shares or (ii) 95% of the applicable NAV per share.
  • For at least three years from the date of purchase, the lesser of: (i) 97.5% of the price paid to acquire the shares or (ii) 97.5% of the applicable NAV per share.
  • For at least four years from the date of purchase, the lesser of: (i) 100% of the price paid to acquire the shares or (ii) 100% of the applicable NAV per share.

EXIT STRATEGY

  • List our shares on a national securities exchange
  • Merge, reorganize or otherwise transfer our company or its assets to another entity
  • Commence selling our properties and liquidate our company
  • Conduct a “NAV” offering and provide increased capacity to repurchase shares through our share redemption program
  • Create another liquidity event for our stockholders

* The share redemption program has limitations including that, during any calendar year, we will not redeem in excess of 5.0% of the weighted average number of shares outstanding during the prior calendar year and cash available for share repurchases will be limited to proceeds from the sale of shares pursuant to our distribution reinvestment plan. Additionally, our Board of Directors may choose to amend, suspend or terminate our share redemption program upon 30 days’ notice at any time. In the event of death or disability, we will repurchase shares at the price you paid for your shares.
